Acceptance of Terms

By creating an account on Klosing or using any part of our service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. Your use of Klosing constitutes your acceptance of these terms and our Privacy Policy. If you do not agree with any provision of these terms, you must not use the service.

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or a banner on our website. Your continued use of Klosing following such changes constitutes your acceptance of the modified terms. It is your responsibility to review these terms periodically for updates.

Eligibility and Account Responsibility

You must be at least 13 years old to use Klosing. If you are under 18, you represent that you have parental or guardian consent to use the service. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to be responsible for all activities that occur under your account, whether authorized or not. You must notify us immediately of any unauthorized access or use of your account.

You warrant that all information you provide during account registration and throughout your use of Klosing is accurate, complete, and current. You are responsible for keeping this information updated.

Acceptable Use and Prohibited Activities

You agree to use Klosing only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the service. You are strictly prohibited from: uploading, distributing, or transmitting any unlawful, defamatory, offensive, or obscene content; engaging in harassment, abuse, or threats toward any person; phishing, spoofing, or impersonating others; accessing or attempting to access areas of Klosing that are not intended for you; disrupting the normal operation of Klosing through hacking, denial-of-service attacks, or other malicious activities; collecting or transmitting personal data of others without consent; and promoting or facilitating illegal activities.

You further agree not to use Klosing to send spam, unsolicited commercial messages, or malware. Any violation of these provisions may result in immediate suspension or termination of your account at our sole discretion.

Content Ownership and License

You retain full ownership of all content you create, upload, or store using Klosing, including text, images, videos, forms, and links (collectively, "Your Content"). Klosing does not claim ownership of Your Content.

By uploading Your Content to Klosing, you grant Klosing a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute Your Content for the purposes of providing, improving, and operating the Klosing service. This includes hosting Your Content on our servers and making it accessible to your intended audience. You further grant Klosing the right to use Your Content in anonymized, aggregated form for analytics and service improvement purposes.

You are responsible for ensuring that Your Content does not infringe upon any third-party intellectual property rights, privacy rights, or other legal rights. You warrant that you have all necessary rights to upload and share Your Content.

Klosing respects intellectual property rights. If you believe Your Content or another user's content infringes your rights, please contact us with details of the alleged infringement.

Paid Services and Billing

If you subscribe to a paid plan, you agree to pay the applicable fees as stated at the time of purchase. Billing will occur according to the plan type (monthly, annual, or other). You are responsible for providing accurate payment information and notifying us of any changes to your billing details.

Refunds are generally not available for paid subscriptions, except where required by law or as explicitly stated in our refund policy. Cancellation of a paid plan takes effect at the end of your current billing cycle.

Klosing reserves the right to change pricing for future billing periods with reasonable advance notice. Price changes will not apply retroactively to active subscriptions.

Limitation of Liability and Disclaimers

Klosing is provided on an "as-is" and "as-available" basis. Klosing makes no warranties, express or implied, regarding the service, including fitness for a particular purpose, non-infringement, or merchantability. We do not guarantee that Klosing will be error-free, uninterrupted, or secure.

To the fullest extent permitted by law, Klosing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion of implied warranties, Klosing's liability shall be limited to the amount you paid for the service in the 12 months preceding the claim.

You agree that your sole remedy for any defect or dissatisfaction with the service is to discontinue use and request a refund, where applicable.

Account Suspension and Termination

Klosing reserves the right to suspend or terminate your account immediately and without prior notice if we determine that you have violated these Terms of Service, engaged in fraudulent or malicious activity, or posed a risk to other users or the security of our platform.

You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your data will be deleted within a reasonable timeframe, except where retention is required by law.

Upon account termination, your right to use Klosing is immediately revoked. Your content may remain accessible to users who have access to your links until the content is deleted or the workspace is removed.

Third-Party Content and Links

Klosing may contain links to third-party websites, services, and content. We do not control, endorse, or assume responsibility for any third-party content. Your use of third-party services is governed by their respective terms and privacy policies. You access third-party content at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless Klosing, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms of Service, your use of the service, or your content.

Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Republic of Indonesia, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be subject to the jurisdiction of the courts in Indonesia.

Changes to the Service

Klosing reserves the right to modify, suspend, or discontinue the service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.
